These Terms & Conditions govern all service engagements between Nexorax Digital and its clients. By engaging our services or accessing our website, you agree to be bound by these Terms.

1. Services

Nexorax Digital provides the following professional digital marketing services:

2. Payment Terms

100% advance payment is required before work commences. Work starts only after full payment confirmation.

• All payments must be made in full prior to the commencement of any project or service
• Only bank transfer is accepted as the payment method (no installments or partial payments)
• For ongoing monthly retainer services, payment is due on or before the 1st of each billing period
• Invoices not paid within 15 days may result in suspension of services without liability
• All fees are exclusive of applicable taxes, which remain the responsibility of the client.

3. No Refund Policy

All payments are non-refundable once work has commenced due to the immediate allocation of human resources, time, and third-party costs.

We invest significant resources — including expert time, tools, and strategy — from the moment a project begins. For this reason, fees paid to Nexorax Digital are strictly non-refundable, including the following:

• Work already performed (strategy documents, audits, content created, campaigns launched)
• Third-party costs incurred on behalf of the Client (ad spend, software, domains, assets)
• Monthly retainer fees for services delivered within the billing period

4. No Guarantee of Results

IMPORTANT: Digital marketing involves inherent uncertainties. Nexorax Digital does not guarantee specific rankings, leads, revenue, or any other performance metric.

Marketing results are influenced by factors beyond our control, including:

• Market conditions: Competition levels, industry trends, and audience behavior
• Platform algorithms: Google, Facebook/Meta, and other platforms change algorithms frequently and without notice
• Budget levels: Ad performance is directly impacted by the Client’s ad spend allocation
• Client-side factors: Quality of the product/service, landing page experience, and response times

The Client acknowledges that SEO results typically take 3–6 months or longer to materialize, and that past performance does not guarantee future results. Nexorax Digital shall not be liable for account suspensions, algorithm changes, or policy updates by third-party platforms.

5. Client Responsibilities

For successful project delivery, the client agrees to:

• Provide accurate, complete, and timely information, materials, and assets required for the work
• Designate a point of contact with the authority to make decisions on behalf of the business
• Grant necessary account access (Google Ads, Meta Business, website CMS, analytics) as required
• Review and provide feedback on deliverables within 5 business days of submission
• Ensure all provided content and assets do not infringe upon third-party intellectual property rights
• Maintain compliance with advertising platform policies (Google Ads, Meta Ads)
• Make all payments on time as specified in Section 2

Nexorax Digital shall not be liable for delays or substandard results caused by the Client’s failure to fulfill these responsibilities.

6. Intellectual Property

6.1 Client-Owned Materials

All content, trademarks, logos, and materials provided by the Client remain the sole property of the Client. The Client grants Nexorax Digital a non-exclusive license to use such materials solely for delivering the agreed services.

6.2 Work Product Ownership

Upon receipt of full payment, all custom deliverables (website designs, ad creatives, written content, and graphics) are assigned to the client. Until full payment is received, all work product remains the property of Nexorax Digital.

6.3 Portfolio Rights

Nexorax Digital may reference the Client’s name, industry, and anonymized results in our portfolio and case studies, unless the Client provides a written opt-out request.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Nexorax Digital is NOT responsible for the following:

• Account bans, suspensions, or restrictions imposed by Google, Meta, or other third-party platforms
• Losses arising from algorithm changes, market fluctuations, or platform policy updates
• Indirect, incidental, or consequential business losses, including loss of revenue or goodwill
• Losses resulting from the Client’s failure to fulfill responsibilities outlined in Section 5

Nexorax Digital’s total cumulative liability shall not exceed the total fees paid by the Client in the three (3) months immediately preceding the claim.

8. Termination of Services

8.1 Termination by Client

The Client may terminate services by providing 30 days’ written notice via email to Info@nexoraxdigital.com. All fees incurred up to the termination date remain payable.

8.2 Termination by Nexorax Digital

Nexorax Digital may terminate or suspend services immediately if

• Payment is not received within 15 days of the due date
• The Client engages in fraudulent, abusive, or illegal conduct
• The Client breaches any material term of this Agreement and fails to remedy within 10 business days of notice

9. Governing Law

This Agreement is governed by internationally accepted commercial contract principles. For US-based clients, disputes shall be governed by the laws of the State of Delaware, USA—a neutral, internationally recognized commercial jurisdiction—without regard to its conflict of law provisions.

Disputes shall first be resolved through good-faith negotiation (30 days). If unresolved, disputes shall be submitted to binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules, conducted in English via video conference. Nothing herein limits your rights under applicable consumer protection laws in your country of residence.
